Tokemy – Dual Regime (EU MiCA + UK FCA)

These Terms of Service (“Terms”) govern access to and use of the Tokemy website, platform, applications, and related services (the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms.
If you do not agree, you must not use the Platform.
Tokemy operates as a technology, consulting, and project coordination platform in the digital assets and tokenisation sector.
Under Regulation (EU) 2023/1114 (MiCA):
Tokemy does not act as a Crypto-Asset Service Provider (CASP), unless expressly stated in a separate written agreement.
Tokemy does not issue crypto-assets to the public.
Tokemy does not provide custody, exchange, execution, or investment services.
Under the Financial Services and Markets Act 2000 (FSMA):
Tokemy is not authorised or regulated by the Financial Conduct Authority (FCA).
Nothing on the Platform constitutes a financial promotion, investment advice, or regulated activity, unless explicitly stated in writing.
Crypto-assets are high-risk and may result in the loss of all invested capital.
Tokemy may provide:
Tokenisation consulting and feasibility analysis
Technical project coordination
Digital onboarding support
Non-custodial platform tools
Compliance-oriented coordination with third-party providers
Tokemy does not:
Provide investment advice or recommendations
Arrange, execute, or intermediate transactions
Hold or safeguard client funds or crypto-assets
Act as issuer, broker, exchange, or custodian
Where required by law, Tokemy may classify users as:
Professional / Business users
Non-retail users
Restricted or ineligible users (based on jurisdiction)
Certain content or services may be restricted accordingly.
All information on the Platform is provided for informational, technical, and organisational purposes only.
Nothing constitutes:
Financial advice
Investment advice
Legal or tax advice
Users must conduct their own assessments and seek independent professional advice.
Any references to:
Tokens
Digital assets
Tokenised projects
are provided in a non-promotional, informational context only.
Tokemy does not target retail investors and does not promote investments within the meaning of MiCA or UK FSMA.
You acknowledge that:
Crypto-assets are volatile and speculative
Token values may fluctuate or become illiquid
Projects may fail or have no economic value
Regulatory frameworks may change
Transactions may be irreversible
You assume full responsibility for all risks and losses.
To comply with applicable laws, Tokemy may:
Perform identity verification (KYC)
Conduct AML / CTF checks
Monitor usage and transactions
Restrict or suspend access
Failure to comply may result in denial of services.
You agree not to:
Use the Platform unlawfully
Circumvent sanctions or regulatory safeguards
Misrepresent assets, tokens, or projects
Engage in misleading or promotional conduct
Tokemy may take appropriate enforcement actions.
All intellectual property rights related to the Platform remain the exclusive property of Tokemy or its licensors.
No rights are granted except as expressly stated.
The Platform may integrate third-party services (e.g. wallets, KYC providers, analytics).
Tokemy:
Does not control third-party services
Does not guarantee their compliance or availability
Is not liable for third-party failures
To the maximum extent permitted by law:
Tokemy excludes liability for crypto-asset losses
Tokemy is not liable for indirect or consequential damages
Platform availability is not guaranteed
Nothing limits liability for fraud or wilful misconduct.
You agree to indemnify Tokemy against claims arising from:
Your use of the Platform
Breach of these Terms
Violation of applicable laws
Tokemy may suspend or terminate access:
For regulatory or compliance reasons
For breach of these Terms
Where required by law or authorities
Tokemy may amend these Terms at any time.
Continued use constitutes acceptance.
EU users: applicable EU law and mandatory local protections
UK & non-EU users: laws of England and Wales
